SA-IDA BYLAWS
BY-LAWS OF THE
SOUTHERN ARIZONA SECTION
of the INTERNATIONAL DARK-SKY ASSOCIATION

ARTICLE I: NAME AND LOCATION
The name of the organization shall be "SOUTHERN ARIZONA SECTION of the
INTERNATIONAL DARK-SKY ASSOCIATION," hereinafter referred to as "SA-IDA".
SA-IDA is a section of the International Dark Sky-Association (IDA), a
non-profit corporation, incorporated in the state of Arizona.
The offices of SA-IDA shall be located in the state of Arizona.
ARTICLE II: OBJECTIVES
Section 1: Service to the public through education, community action and public
information concerning the issues of light pollution.
Section 2: Service to the membership via collection of information, distribution
of information, education on all aspects of the light pollution issue and
related topics, and assistance with local light pollution problems by sharing
common knowledge on a local, national, and international basis.
Section 3: Any monies or funds from memberships, programs, or services shall be
used totally for research and education, and to further the goals of the
Association. No funds shall be used for personal gain except for reimbursement
of expenses for program activities approved by the Executive Committee..
ARTICLE III: MEMBERSHIP
Section 1: Active Members: Any individual interested in the issue of light
pollution and related topics for Southern Arizona may become a member if he or
she is a member in good standing of IDA and by applying for membership in
SA-IDA, and whose membership has been approved by the Executive Committee of
SA-IDA.
ARTICLE IV: MEETINGS OF MEMBERS
Section 1: At least once per calendar year, date to be determined by the
Executive Committee. Meetings are open to all who desire to attend (it is not
necessary to be a SA-IDA member to attend and participate in the SA-IDA
meetings).
Section 2: Notification for Membership meetings: The Secretary shall notify the
members when a meeting is to be held. Such notice of the time, place, and
purpose shall be delivered by regular mail or e-mail not less than 10 days in
advance of the meeting. Notices will be mailed to members at the address which
appears on the membership list of SA-IDA.
Section 3: Voting: Only bonafide members can vote. Non-members may attend
meetings but do not have a vote.
Section 4: Quorum: Minimum of 2 Executive Committee members plus 5 voting
members.
Section 5: Rules of Order: The meetings and proceedings of SA-IDA shall be
conducted according to Roberts Rules of Order, except as may be otherwise
provided for in the by-laws.
ARTICLE V: DUES
Section 1: Dues may be instituted at the discretion of the Executive Committee
and approved by the membership at an announced meeting.
ARTICLE VI: EXECUTIVE COMMITTEE
Section 1: The officers of the Executive Committee shall be the Chairperson
(Chair), Vice-Chairperson (Vice Chair), Treasurer, and Secretary. Any person may
hold two or more offices except that the Chair shall not be Treasurer.
Section 2: Election, Term of Office: The officers of the Executive Committee
shall be elected for a two- ear term from among the voting members.
Section 3: Quorum of the Executive Committee, no less than 50% of the Executive
Committee shall constitute a quorum. A majority vote of those attending shall be
required on all issues.
Section 4: Vacancies: Shall be filled by special election.
Section 5: Duties:
Chair - Shall preside at all meetings of the SA-IDA and Executive Committee
and shall perform such other duties as may be assigned by the Executive
Committee.
Vice-Chair - Shall preside at meetings in absence of the Chair, will be in
charge of the educational aspects of SA-IDA and have such powers and duties as
assigned by the Executive Committee.
Secretary - Shall notify members when and where a meeting is to be held and
record the minutes of all such meetings. Shall keep a record of all persons who
are members of SA-IDA and such other duties as may be assigned by the Executive
Committee.
Treasurer - Shall keep all financial records of SA-IDA, collect income and make
such expenditures as the Executive Committee of SA-IDA may authorize.
ARTICLE VII: NOMINATING COMMITTEE:
Shall consist of four voting members of SA-IDA who have agreed to serve in that
capacity. If more than four apply, the Executive will chose four amongst the
volunteers.
ARTICLE VIII: MISCELLANEOUS:
1- SA-IDA must file an Annual Section Report with the Secretary of the
International Dark-Sky Association.
2- SA-IDA shall use its funds only to accomplish the objectives and purposes
specified in the bylaws. On dissolution any funds remaining will be turned over
to the IDA.
3- These bylaws may be repealed or amended by a two-thirds vote of the general
membership, notice of such proposed repeal or change having been sent to the
membership 30 days before the date on which the vote is to be taken.
Amendments may be proposed by the Executive Committee on its own initiative or
upon petition of 25% of the membership.
